Vendor Terms

These Vendor Terms govern the listing and use of OccasionList (the "Platform") by businesses and individuals offering services for weddings, family celebrations and cultural events ("Vendor", "you"). They apply in addition to our general Terms & Conditions, which also govern your use of the Platform. Where the two conflict on a vendor-specific matter, these Vendor Terms take priority.
1. Who we are and what we provide
OccasionList is a UK-based marketplace that helps clients discover, shortlist, compare and enquire with vendors. We provide a listing, discovery and enquiry platform. We are not a party to, and do not broker, arrange, guarantee or take a commission on, any booking, contract or payment between you and a client, unless we notify you otherwise in writing.
2. Eligibility and registration
You must be legally entitled to provide the services you list, hold any licences, certifications, insurance or food hygiene ratings that apply to your trade, and provide accurate business and contact information when registering. You are responsible for keeping this information current.
3. Your listing
You are responsible for the accuracy of your listing, including your description, services, pricing, capacity and availability. New listings may be reviewed before first publication. Once approved, you may edit your listing without further approval, though we may review changes at our discretion and may ask you to amend content that no longer meets our standards.
Pricing should be shown with a clear unit (per event, per person, per item, per hour, per day, packages from, minimum spend, or price on request) so clients can compare fairly. Only show a guest capacity figure where it is meaningful to your service.
4. Content standards
To keep the Platform trustworthy for clients and fair to other vendors, your listing must not:
- direct clients to contact you outside the Platform in place of the Request a quote or Message vendor tools (for example, "DM me on Instagram" or a phone number offered as the way to enquire) — you may still link to your social channels and website in the dedicated "Online presence" section of your profile;
- contain false, misleading or discriminatory content;
- claim a form of verification, certification or endorsement you do not hold;
- use images or other content you do not have the rights to use.
We may hide, unpublish, or ask you to amend a listing, in whole or in part, that breaches this section.
5. Enquiries, quotes and bookings
Clients may contact you through a structured quote request or a direct message. Please respond to enquiries in a timely and professional manner. Any booking, contract, deposit or payment arising from an enquiry is agreed directly between you and the client; OccasionList is not a party to it and does not mediate, guarantee, or hold funds in relation to it.
The availability status shown on your profile is indicative only, based on information you provide. Your actual calendar is not made public, and clients are told to confirm dates directly with you.
6. Reviews
Clients who meet our review eligibility criteria may leave a review of your business following a genuine interaction on the Platform. A review linked to stronger booking evidence, such as an accepted quote or a booking confirmed by both parties, may be shown as a "Verified booking" review; ordinary reviews are shown without that label. You may not delete, edit, or offer an incentive in exchange for a review, but you may report a review you believe is fake, abusive, or does not relate to a genuine interaction, for our assessment.
7. Fees
Listing on the Platform is currently free as part of our launch period. We reserve the right to introduce fees, commission, or paid features for vendors in future. Where we do, we will give you reasonable advance notice, and continued use of the Platform after any fee takes effect constitutes your acceptance of it.
8. Content licence and marketing
You retain ownership of the content you submit to your listing, including text, photos, and videos. You grant OccasionList a non-exclusive, worldwide, royalty-free licence to host, display, and reproduce that content on the Platform, and to use it for promotional purposes connected with OccasionList, including social media features such as new-vendor spotlights, with reasonable attribution to your business where practical.
You may opt out of promotional use of your content, or request we stop using specific content, at any time by contacting support@occasionlist.com; we will action this within a reasonable time, save for material already published or shared prior to your request.
9. Your responsibilities and indemnity
You are solely responsible for the services you provide, compliance with all applicable laws (including food hygiene, health and safety, and consumer protection law relevant to your trade), and holding adequate insurance for your business. You agree to indemnify and hold OccasionList harmless against any claim, loss, liability or expense (including reasonable legal costs) arising from your services, your conduct, content you submit, or your breach of these Vendor Terms or applicable law.
10. Suspension, removal and termination
We may suspend or terminate your account, or hide, unpublish or remove your listing or other content, at any time where we reasonably believe these Vendor Terms have been breached, your listing is inaccurate or misleading, or continued access poses a risk to clients or to the Platform. Where practical, we will give notice and a reason. You may close your account and remove your listing at any time by contacting support@occasionlist.com.
11. Intellectual property
The OccasionList name, logo, and platform are our property or that of our licensors. Nothing in these Vendor Terms transfers any OccasionList intellectual property to you, and nothing transfers your intellectual property to us beyond the licence granted in section 8.
12. Liability
To the maximum extent permitted by law, OccasionList is not liable for losses arising out of any contract, booking, transaction or interaction between you and a client, or for a client's conduct. Nothing in these Vendor Terms excludes or limits liability for death, personal injury or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded.
13. Complaints and disputes
If you have a complaint about the Platform or a client, contact support@occasionlist.com and we will look into it. Disputes about a booking, contract or payment are between you and the client directly; we may assist by sharing relevant Platform records but are not responsible for resolving the underlying dispute.
14. Changes to these Vendor Terms
We may update these Vendor Terms from time to time to reflect changes to the Platform or our legal obligations. Material changes will be notified by email or in-app notice with reasonable advance notice where practical. Continued use of the Platform after changes take effect constitutes acceptance of the updated Vendor Terms.
15. Governing law
These Vendor Terms are governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
